Terms of Service

Effective date: October 21, 2025

Not for emergencies. Do not use the TalkDoc Platform for emergency medical needs. If you are experiencing a medical or mental health emergency, call 911 immediately. If you are thinking about suicide or may harm yourself or others, call 911 or use crisis resources in your area. The Platform lists crisis resources for immediate help.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the TalkDoc websites, applications, and related services (collectively, the “Platform”). By using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Who We Are; Independent Providers; No Medical Advice

TalkDoc, Inc. (“TalkDoc,” “we,” “us,” or “our”) operates the Platform. Clinical services are provided by independent, licensed professionals and/or professional entities (“Providers”). TalkDoc does not practice medicine and is not a healthcare provider. Except for information you receive directly from a Provider in a clinical encounter, all Platform content is for informational purposes only and is not medical advice.

3. TalkDoc AI

TalkDoc may offer a conversational tool (“TalkDoc AI”). TalkDoc AI is not a licensed professional, cannot diagnose, prescribe, or treat, and is not a substitute for care from a qualified clinician. Do not rely on AI outputs for clinical decision-making.

4. Eligibility; Age; Location

You must be 18 or older (or have a parent/guardian’s consent where legally permitted). You are responsible for providing accurate information about your identity, age, location, and emergency contact, and for using the Platform only where Services are made available and Providers are licensed.

5. Account Registration and Security

You may need an account to use certain features. Keep your login credentials confidential and ensure your account information is accurate and current. You are responsible for all activity under your account. Notify us promptly of any suspected unauthorized use or security breach.

6. Medicaid / Medi-Cal and Other Payors; Billing

If you access Services through Medicaid/Medi-Cal or another payor (each, a “Payor”), eligibility and any cost-sharing are determined by your Payor. If a Service is not covered, you are responsible for payment. You authorize submission of claims to your Payor and collection of applicable patient responsibility, as allowed by law.

7. Consent to Telehealth

By using telehealth Services, you consent to receive care via audio/video and digital communications. Telehealth has risks (e.g., interruptions, limited exams). You may withdraw consent, though doing so may limit access to Services.

8. Provider Relationship

Your clinical relationship is solely with your Provider. Providers exercise independent professional judgment and may determine you are not a candidate for certain Services or that additional or in-person care is needed. You should never ignore or delay seeking in-person medical advice based on Platform content.

9. Privacy

Your use of the Platform is subject to our Privacy Policy. Some information handled by Providers may be protected by health privacy laws (e.g., HIPAA) when applicable. We may use de-identified or aggregated data for permitted operational and quality purposes.

10. Communications

You consent to receive administrative and service-related communications (e.g., appointment reminders) by the contact methods you provide (texts, emails, calls). Standard messaging/data rates may apply. You may opt out of non-essential messages, but we may still send transactional notices necessary to deliver the Services.

11. Acceptable Use

You agree not to: violate laws or rights; post unlawful, defamatory, harassing, obscene, or infringing content; disrupt or attempt to gain unauthorized access to any system; or use automated scraping or crawling without our written consent. You are responsible for content you submit to the Platform.

12. User Content; Feedback

You represent that you have the rights to any content you submit. If you provide feedback or suggestions, you grant TalkDoc a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use it for any lawful purpose without compensation.

13. Intellectual Property; Limited License

The Platform and its content are owned by TalkDoc or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose, subject to these Terms. You may not reverse engineer, modify, or create derivative works of the Platform.

14. Third-Party Services and Links

The Platform may link to third-party websites or services. We are not responsible for third-party content or practices. Your use of third-party services is at your own risk and may be governed by separate terms.

15. Apps and App Store Terms

If you use our mobile app, you must comply with applicable app store terms. The app store is not responsible for the app or its support/maintenance. Any claims related to the app are between you and TalkDoc.

16. Scheduling; Cancellations; No-Shows

Providers may maintain policies regarding late cancellations, rescheduling, or missed appointments, including fees where permitted by law and your Payor. Review applicable Provider and Payor policies before scheduling.

17. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKDOC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID (IF ANY) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

19. Indemnification

You will defend, indemnify, and hold harmless TalkDoc and its affiliates from claims and expenses arising from your violation of these Terms or misuse of the Platform.

20. Changes to the Platform or Terms

We may modify the Platform and these Terms at any time. Material changes will be posted with an updated “Effective date.” Continued use after changes become effective constitutes acceptance.

21. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.

Informal resolution: Before filing a claim, you agree to try to resolve it informally with us for 30 days.

Arbitration/Class waiver: Except for small-claims or injunctive relief, disputes will be resolved by binding arbitration under the AAA Consumer Arbitration Rules, on an individual basis (no class actions or class arbitration).

Venue: For claims not subject to arbitration, exclusive jurisdiction and venue lie in the state and federal courts in Los Angeles County, California, and you consent to personal jurisdiction there.

22. International Users

We operate from the United States and make no representation that the Platform is appropriate in other jurisdictions. You are responsible for local compliance.

23. Miscellaneous

These Terms constitute the entire agreement between you and TalkDoc regarding the Platform. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. You may not assign these Terms without our consent; we may assign them.
